From Saudi Arabia and the United Arab Emirates to Mallorca and Ibiza: Investing in Spain with Legal Certainty
Against a backdrop of geopolitical tensions and economic uncertainty, wealth diversification is no longer simply a question of financial returns. For many business-owning families and high-net-worth individuals, spreading investments across different jurisdictions is also part of a broader strategy aimed at stability, asset protection and long-term planning.
In this respect, Spain offers an attractive environment for investors from Saudi Arabia and the United Arab Emirates. Its membership of the European Union, established legal system and openness to international investment provide a framework within which residential, property and business ventures can be developed with a greater degree of legal predictability.
And within Spain, why not Mallorca or Ibiza?
Destination
Much More Than a Residential Destination
Mallorca and Ibiza are no longer exclusively holiday destinations. They have also become places where families of different nationalities establish homes, develop businesses and hold part of their wealth.
Mallorca offers a high-end residential property market, international connections, specialist services and an established international community. Ibiza, with its distinctive property market and international appeal, also attracts investors interested in exclusive properties and business opportunities on the island.
In both cases, their appeal lies in a combination that is difficult to replicate: quality of life, economic activity, an international environment and access to the Spanish and European legal framework.
A Saudi family may wish to acquire a residence for its stays in Europe. An entrepreneur based in the Gulf may identify a property investment opportunity in Ibiza. A family office may consider acquiring several assets or taking a stake in a Spanish company.
These are different projects, but they all raise the same fundamental question: how should the investment be structured to reflect the interests and objectives of those involved?
Strategy
Before Purchasing Property or Establishing a Company, Understand the Investor
One of the mistakes to avoid in an international transaction is deciding on the legal structure before defining the investment project itself.
Establishing a Spanish company is not always the most appropriate way to acquire a property, just as a business investment does not necessarily need to be made directly in an individual’s name.
The right approach depends on who is investing, where they are based, which assets they already hold, how their wealth is organised and what they intend to achieve.
For this reason, the starting point should be a comprehensive legal and tax assessment of the investor and their interests in Spain.
Is the property intended as a family residence or an income-generating investment? Will the owner become tax resident in Spain or remain resident in Saudi Arabia or the United Arab Emirates? Is there an existing overseas company through which the investment could be made? Are further acquisitions envisaged? Should the assets remain within a family ownership structure?
The answers will influence important decisions concerning asset ownership, taxation, representation, management and the future transfer of wealth.
Operating in Spain
Investing and Operating in Spain: Companies, NIE Numbers and Remote Representation
Once the investment strategy has been established, the next step is to determine how it should be implemented.
Investors may act in their own name, through an existing overseas company or through an entity incorporated in Spain. One commonly used option is a Spanish private limited liability company (Sociedad Limitada or S.L.), although its suitability must be assessed in light of the proposed activity and the investor’s wider wealth structure.
It is also necessary to prepare the documentation required to operate in Spain. For foreign individuals, one of the first steps is often obtaining a Foreigner Identification Number (Número de Identidad de Extranjero or NIE), which is required for identification before Spanish authorities and for numerous transactions with financial, tax or administrative implications.
A particularly practical consideration for investors who remain resident in the Middle East is that many transactions can be arranged without the need for frequent travel to Spain.
By granting a notarised power of attorney abroad that is valid for use in Spain, an investor can appoint a representative to carry out the acts for which they have been expressly authorised.
A general power of attorney may confer broad powers of administration and representation, while a specific power of attorney allows the representative’s authority to be limited to particular transactions or matters. The scope of these powers should be carefully defined according to the investor’s needs and the degree of control they wish to retain over their affairs.
Due Diligence
Due Diligence: Understanding Exactly What Is Being Acquired
Identifying an exceptional property or a promising business opportunity is not the same as understanding its legal position.
In Mallorca and Ibiza, where planning and land-use regulations have particular significance, it is essential to establish not only who owns a property, but also what can lawfully be done with it.
A villa may present discrepancies between its physical condition, its Land Registry records and its planning documentation. A plot of land may be subject to building restrictions. A property acquired for investment purposes may not meet the legal requirements for its intended commercial use.
In a business acquisition, the review extends to contracts, liabilities, licences and potential legal or regulatory issues affecting the company.
This due diligence process enables investors to identify risks before entering into binding commitments, assess their implications and establish appropriate contractual safeguards. It is also necessary to consider any specific requirements that may apply to certain property acquisitions by non-EU investors.
Taxation
International Taxation and Source of Funds: Matters to Address from the Outset
Planning does not end with selecting an asset or choosing a corporate structure.
Tax residence, the form of ownership, income generated by the investment and any future transfer of assets may give rise to different tax consequences. Where interests are held across several jurisdictions, the potential application of relevant international tax treaties must also be considered.
Transactions must also be prepared in accordance with Spain’s anti-money laundering regulations.
Identifying the ultimate beneficial owners, verifying the source of funds and documenting the corporate entities involved are essential steps, particularly where family offices or complex international corporate structures are concerned.
Addressing these matters at an early stage allows the documentation, financing arrangements and legal completion of the transaction to be coordinated efficiently.
